1. Who We Are

Success Society ("we," "us," or "our") is an online community platform for entrepreneurs at successsociety.co. We provide a free Discord community and a paid Builder Plan with additional features including networking events, niche accountability tools, the Opportunity Finder, and direct founder access.

By accessing or using Success Society, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Your Account

You sign up using your Discord account via OAuth. We do not store your Discord password. You are responsible for maintaining the security of your Discord account.

You must be at least 13 years old to use this service, consistent with Discord's own Terms of Service.

You may only create one account. Creating multiple accounts to circumvent bans, limitations, or platform policies is strictly prohibited.

You agree to provide accurate information and keep it up to date.

3. Community Rules

By joining, you agree to:

• Be respectful to all members at all times

• Not spam, harass, bully, threaten, or abuse other members

• Not post illegal content, including content that infringes third-party intellectual property rights

• Not share misleading financial, investment, legal, or medical advice as fact

• Not promote or advertise products, services, or links without prior permission from admins

• Not attempt to access other members' accounts or any part of the platform you are not authorized to access

We reserve the right to remove any member who violates these rules, at our sole discretion, without prior notice or refund.

4. Free Membership

The free tier grants you access to the Success Society Discord community, including niche channels, general networking, and weekly hangout events.

We reserve the right to modify, limit, or remove features of the free tier at any time without notice.

5. Builder Plan

The Builder Plan is a paid monthly subscription currently priced at $30/month (the "Founding Rate"). It includes live biweekly networking events, breakout rooms, the Opportunity Finder tool, weekly help and accountability calls, Builder Discord channels, and direct founder access.

Subscriptions are billed monthly and renew automatically until cancelled. You may cancel at any time through your account settings or by contacting us at support@successsociety.co. Cancellation takes effect at the end of your current billing cycle — you retain access until then.

We do not issue refunds for partial billing periods or unused subscription time.

We may change the price of the Builder Plan with at least 30 days' notice. Your continued use after the price change takes effect constitutes acceptance of the new price.

Event tickets purchased individually ($15/ticket) are non-refundable once the event date has passed.

6. Referral & Leader Program

Success Society offers a referral and Niche Leader program where members can earn rewards for referring others and for leading niche communities.

Eligibility: You must have an active account to participate. Leader applicants are reviewed and approved at our discretion.

Restrictions: You may not run paid advertising campaigns using referral links without prior written permission. You may not create fake accounts, refer yourself, or engage in any fraudulent referral activity. Fraudulent activity will result in immediate account termination and forfeiture of all rewards.

Modifications: We reserve the right to modify, suspend, or terminate the referral or leader program at any time with 30 days' notice to active participants.

Taxes: You are solely responsible for any tax obligations arising from rewards earned through the program.

No Guarantee: Participation does not guarantee any earnings. Actual rewards depend entirely on referred users' actions and your own activity.

7. Intellectual Property

All content, materials, tools, and features provided through Success Society — including the Opportunity Finder, event recordings, playbooks, and platform design — are owned by or licensed to Success Society. You may not reproduce, redistribute, resell, or create derivative works from our content without prior written permission.

Content you post in the community (messages, images, files) remains yours. By posting, you grant us a non-exclusive, royalty-free, worldwide license to display and distribute that content within the platform and in connection with operating our services.

You represent that you have all rights necessary to grant this license, and that your content does not infringe any third-party rights.

8. DMCA / Copyright Takedown

If you believe that content on Success Society infringes your copyright, you may submit a written notice to support@successsociety.co with the subject line "DMCA Takedown Request" including:

• A description of the copyrighted work you claim is infringed

• The URL or specific location of the allegedly infringing content

• Your name, address, phone number, and email address

• A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law

• A statement, under penalty of perjury, that the information in your notice is accurate and you are the copyright owner or authorized to act on their behalf

• Your physical or electronic signature

Upon receipt of a valid DMCA notice, we will promptly remove the content and notify the user. The user may submit a counter-notice if they believe the content was removed in error.

9. Disclaimers

Success Society is a community platform — not a financial advisor, investment advisor, business consultant, or legal advisor. Nothing shared in the community or through our tools constitutes professional advice of any kind.

We are not responsible for any business decisions, financial losses, or other outcomes resulting from content shared in the community or from use of our tools.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUCCESS SOCIETY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF SUCCESS SOCIETY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations on liability, so these limits may not apply to you to the extent prohibited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Success Society and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of these Terms

• Your violation of any applicable law or regulation

• Content you post or share through the platform

• Your use or misuse of Success Society or its tools

• Your infringement of any third-party rights

12. Account Termination

By You: You may terminate your account at any time by contacting us at support@successsociety.co.

By Us: We may suspend or terminate your account immediately and without prior notice if: (a) you violate these Terms; (b) we reasonably believe your conduct is illegal or harmful to other members or to us; (c) you infringe third-party intellectual property rights; or (d) continuing to provide the service is prohibited by applicable law.

Effect of Termination: Upon termination, your right to use Success Society ends immediately and your Discord roles will be revoked. Active Builder Plan subscriptions will not be refunded for the remaining billing period.

Data: We may retain certain data as required by law or for legitimate business purposes. See our Privacy Policy for details on data retention.

13. Dispute Resolution

Informal Resolution: Before filing any formal claim, you agree to contact us at support@successsociety.co and attempt to resolve the dispute informally. We will try to resolve most issues within 30 days.

Binding Arbitration: If informal resolution fails, you and Success Society agree that any dispute, claim, or controversy arising from or relating to these Terms or your use of Success Society shall be resolved by binding individual arbitration — not in court, and not as a class action. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) before a single arbitrator.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the platform.

Class Action Waiver: YOU AND SUCCESS SOCIETY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out: You may opt out of arbitration by sending written notice to support@successsociety.co within 30 days of first accepting these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. To the extent a dispute is not subject to arbitration under Section 13, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms and updating the "Last updated" date at the top of this page, and by sending a notice to your registered email address or via the Discord community.

Your continued use of Success Society after the effective date of updated Terms constitutes your acceptance of the changes.
